1. Scope of Application
These General Terms and Conditions of Sale (hereinafter the "T&Cs") apply to all services provided by ADDGENCY LP to professional clients established in Switzerland, unless otherwise agreed in writing in a specific contract.
Any order, acceptance of a proposal, or signature of a quote implies unreserved acceptance of these T&Cs, which prevail over any other client document (purchase conditions, etc.), except by express written derogation from ADDGENCY LP.
2. Collaboration Process
Initial meeting: A first meeting identifies the client's challenges, priorities, and constraints and defines the scope of the mission.
Initial estimate: Based on this discussion, ADDGENCY LP submits a proposal including: service description, intervention methods, billing model (hourly, flat rate, project-based, ADD Solutions), and budget estimate.
Acceptance: The contractual relationship is formed upon written validation of the proposal (signature, acceptance email, purchase order) by the client.

3. Engagement Models

Flat rate: A volume of time or scope of intervention is defined for a specific period (e.g., week, month, quarter). The flat rate covers the services described in the proposal.
Project-based: A fixed budget is determined for a set of specific actions, with clearly identified deliverables. Any request outside the scope is subject to a new proposal or amendment.
ADD Solutions: ADD Solutions correspond to packaged and/or recurring offers (e.g., regular content production), with a predefined scope, duration, and rate in the documentation or associated proposal.
4. Time Tracking & Transparency
For hourly and flat rate projects, ADDGENCY LP uses a timesheet tool accessible to the client or shared via regular reports.
Time spent is recorded in detail (date, nature of tasks, duration), allowing the client to track progress and budget consumption with complete transparency.
5. Financial Terms & Billing
Rates are indicated in CHF (or GBP / or EUR if specified) excluding applicable taxes. Any external costs (licenses, media purchases, subcontractors, travel, etc.) are either integrated into the quote or rebilled with supporting documents.
Hourly billing: Hourly services are billed monthly, based on the validated time report and/or communicated to the client.
Flat rate billing: Unless otherwise stated in the proposal, flat rates are billed either monthly or according to the schedule defined in the proposal (e.g., start of period, mid-course, end of period).
Project billing: Unless specifically agreed, projects are subject to the following terms: 50% of the total amount upon signature/acceptance of the project, 50% upon delivery of the project or achievement of the agreed final milestone.
ADD Solutions billing: ADD Solutions are billed monthly, in advance or in arrears as indicated in the commercial proposal.
Invoices are payable within 30 days from the invoice date, unless a different deadline is mentioned in the quote or on the invoice. In case of late payment, ADDGENCY LP reserves the right to:
apply late payment interest at the legally applicable rate or, failing that, at a rate of 8% per annum, calculated day by day,
charge reasonable administrative fees for collection,
suspend the execution of services until payment of the sums owed.
6. Client Obligations
The client undertakes to:
provide all information and access necessary for the proper execution of services,
validate deliverables, proposals, or decisions submitted within reasonable timeframes,
Any delay or lack of collaboration from the client that may impact the schedule or quality of deliverables cannot be attributed to ADDGENCY LP's responsibility.
7. Intellectual Property
Unless otherwise stipulated in the proposal or a specific contract, intellectual property rights to elements pre-existing the mission (templates, methods, tools, charters, etc.) remain the exclusive property of ADDGENCY LP.
Deliverables created for the client may be assigned or licensed according to the terms defined in the proposal (type of rights, territory, duration, uses), after full payment of sums owed.
8. Confidentiality & Data
Each party undertakes to keep strictly confidential information of a strategic, commercial, technical, or financial nature obtained within the framework of the collaboration.
When ADDGENCY LP processes personal data on behalf of the client, the parties will conclude, if necessary, a separate data processing agreement, to comply with both applicable UK law and Swiss data protection law.
9. Liability
ADDGENCY LP undertakes to provide all reasonable care in the execution of its services, in accordance with professional standards.
Its liability can only be engaged in case of proven fault and is, in any event, limited to the amount of fees actually paid by the client for the 12-month period preceding the event giving rise to the damage.
ADDGENCY LP cannot be held responsible for loss of profit, loss of revenue, loss of data, or any indirect or consequential damage.
10. Force majeure
Neither party shall be held responsible for a failure to meet its obligations resulting from a force majeure event within the meaning of Scottish law (natural disaster, widespread outage, social conflict, act of authorities, etc.).
The affected party informs the other as soon as possible and the concerned obligations are suspended for the duration of the force majeure event.
11. Duration, Termination & Suspension

These T&Cs apply throughout the duration of the collaboration between ADDGENCY LP and the client.
Each party may terminate the relationship in case of serious breach by the other party of its contractual obligations, not remedied within a reasonable time after written notice.
ADDGENCY LP may also suspend or terminate the service in case of repeated non-payment or non-compliance with the client's obligations.
12. Applicable Law & Jurisdiction
These T&Cs, as well as any contract concluded between ADDGENCY LP and the client, are governed by Scottish law and, more broadly, by UK law, subject to mandatory Swiss law rules that may apply to the service provided to the client established in Switzerland.
Any dispute relating to the validity, interpretation, or execution of the T&Cs shall, failing amicable resolution, be subject to the exclusive jurisdiction of the Scottish courts, without prejudice to potentially competent jurisdictions under mandatory rules.
